The On-time Filing Guarantee.
This Guarantee Agreement ("Agreement") is made and entered into by and between Regulatory Solutions, Inc. ("Company") and all persons, companies, or other entities that are using Regulatory Solutions, Inc. products as is evidenced by the purchase of any product sold by Regulatory Solutions, Inc. Company guarantees that it will file a report to the Federal Communications Commission ("FCC") on behalf of Client before the filing date or Client will receive their money back. However, this guarantee is subject to the following conditions:
1. Client must provide all necessary and correct data to Company at least one week before the filing date.
2. If the Client fails to provide all necessary and correct data to the Company at least one week before the filing date, this guarantee will be null and void. Client acknowledges that the success of this guarantee is dependent on their compliance with the above-stated conditions. Client hereby agrees that the sole remedy for any failure by Company to meet its obligations under this Agreement shall be a refund of all fees paid by Client to Company for the report.
This Agreement shall be governed by and construed in accordance with the laws of Arizona, without regard to conflicts of law principles. Any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Arizona, and Client consents to the jurisdiction of such courts. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, whether written or oral.
